Terms of Service

These terms govern your use of delv (the "Service"), available at delvai.io and operated from the Philippines ("we," "us," "our"). By creating an account or using the Service you agree to these terms. If you don't agree, don't use the Service.

1. Your account

You need a Google account to sign in. You're responsible for activity under your account. Keep your Google credentials secure. Notify us at support@delvai.io if you suspect unauthorized access.

You must be at least 13 years old. If you're under the age of majority in your jurisdiction, you need a parent or guardian's consent.

2. What delv does

delv routes your messages to third-party AI model providers (including OpenAI, Anthropic, Google, DeepSeek, Moonshot, Alibaba, Meta, and xAI, via OpenRouter). We store your conversations, attachments, and generated artifacts (voice recordings, images, music tracks, voice snippets, files) in Google Cloud. We don't train AI models on your data and OpenRouter routes with training opt-out.

The Service is provided "as is." AI models make mistakes, hallucinate, and sometimes produce offensive, incorrect, or harmful output. Treat all output as draft material requiring human judgment — never as a substitute for professional advice (legal, medical, financial, etc.).

3. Acceptable use

You agree not to use the Service to:

• Generate content that is illegal, harmful, harassing, hateful, or infringes rights of others
• Produce child sexual abuse material (CSAM) or sexual content involving minors
• Create malware, phishing content, or tools designed to compromise systems
• Generate political disinformation, deepfakes intended to deceive, or impersonate real people without consent
• Scrape, reverse-engineer, or attempt to extract underlying model weights
• Circumvent rate limits, quotas, or authentication
• Resell, white-label, or provide the Service as your own product
• Use the Service to build a competing AI chat product
• Violate the usage policies of the underlying model providers (e.g., OpenAI's usage policies, Anthropic's acceptable use policy)

We may suspend or terminate accounts that violate these rules, at our discretion, with or without notice.

4. Content ownership

Your inputs (prompts, files you upload) remain yours. You grant us a limited license to process them to provide the Service.

AI-generated outputs (responses, voice audio, generated images, music tracks, voice snippets, files) — you may use them however you like, subject to the acceptable use terms above and the underlying model providers' terms. Note that AI outputs may not be copyrightable in many jurisdictions, and we make no warranty that outputs are original or free from third-party rights claims. You're responsible for verifying originality and suitability before relying on any output.

5. Payments and subscriptions

Free tier requires no payment. Pro subscriptions are billed monthly or annually via Lemon Squeezy, our Merchant of Record. Lemon Squeezy handles billing, tax collection, and invoicing on our behalf. By subscribing you authorize recurring charges until you cancel.

Subscriptions auto-renew. Cancel anytime from your account page — access continues through the end of the current billing period. See our Refund Policy for details on refunds.

We may change pricing with at least 30 days' notice. Existing subscribers keep their current price through the end of their current billing period.

6. Intellectual property

The delv name, logo, interface design, code, and all materials we produce are our property. You may not copy, modify, or redistribute them. You receive a limited, non-exclusive, non-transferable license to use the Service for personal or business use during your subscription.

7. Third-party services

delv depends on third parties including Google (OAuth authentication, Firestore, Cloud Storage, Vertex AI for image generation), OpenRouter (chat routing), ElevenLabs (voice calls, text-to-speech, music composition), Serper (web search), and Lemon Squeezy (payment processing). Their terms apply to your use of their portions of the Service. We're not responsible for their availability, performance, or policy changes. 8. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We don't guarantee that AI outputs will be correct, safe, or suitable for any purpose.

9. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of your use of the Service is limited to the amount you paid us in the 12 months preceding the claim, or USD 100, whichever is greater.

We're not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

10. Termination

You can terminate your account anytime by deleting it from your account page or emailing support@delvai.io. We may terminate or suspend accounts for violations of these terms, extended inactivity (> 12 months with no activity on a free account), or to comply with law.

On termination: your subscription ends, access stops, and we may delete your data after a reasonable grace period (typically 30 days) unless required by law to retain it.

11. Governing law and disputes

These terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules. Any dispute arising under these terms will be resolved in the competent courts of the Philippines — unless applicable consumer-protection law in your jurisdiction gives you the right to proceed elsewhere.

12. Changes to these terms

We may update these terms. If changes are material, we'll notify you by email or an in-app banner at least 14 days before they take effect. Continued use after the effective date means you accept the new terms.
